Terms of Service

1. Service Description

Earnst is a fan CRM platform for independent music artists. The Service allows artists to manage their fan relationships, send email and SMS broadcasts, track engagement, and build their audience. Fans sign up through artist invite links or QR codes to receive updates and communications from artists they follow.

2. SMS Messaging Program

Earnst enables artists to send SMS messages to fans who have opted in. By providing your phone number and consenting to receive messages, you agree to the following:

• Program name: Earnst Artist Updates
• Description: Receive broadcast messages from independent music artists you follow, including updates, announcements, and fan engagement content.
• Message frequency: Message frequency varies. Artists control when and how often they send broadcasts.
• Message and data rates: Message and data rates may apply. Check with your carrier for details.
• To stop receiving messages, text STOP at any time. You will receive a confirmation and no further messages will be sent.
• For help, text HELP or email support@getearnst.com.
• Carriers are not liable for delayed or undelivered messages.

3. Account Responsibilities

You are responsible for maintaining the security of your account and all activity that occurs under it. Specifically:

• You must provide accurate and complete information when creating an account
• You must keep your login credentials secure and not share them with others
• You must notify us immediately at legal@getearnst.com if you suspect unauthorized access to your account
• You must be at least 13 years old to use the Service

4. Acceptable Use

When using Earnst, you agree not to:

• Send unsolicited messages or spam — all recipients must have opted in to receive communications from you
• Distribute illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable content
• Violate applicable laws, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and any other anti-spam or telecommunications regulations
• Impersonate another person or entity, or misrepresent your affiliation
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Use the Service to harvest or collect personal information without consent

We reserve the right to suspend or terminate accounts that violate these guidelines.

5. Subscription & Billing

Paid features of Earnst are billed through Stripe on a recurring subscription basis. By subscribing, you agree to the following:

• Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date
• You authorize us to charge your payment method on file for all applicable fees
• Cancellations take effect at the end of the current billing period — you will retain access until then
• We may change pricing with at least 30 days' notice; continued use after a price change constitutes acceptance
• Refunds are handled on a case-by-case basis at our discretion

6. Data Ownership

Artists retain full ownership of their fan data, including fan profiles, contact information, and engagement history collected through the Service. Specifically:

• You may export your fan data at any time in a standard, portable format
• We will not sell, share, or use your fan data for purposes unrelated to providing the Service
• If you terminate your account, you may request an export of your data before deletion

By using the Service, you grant us a limited license to process your data solely for the purpose of operating and improving Earnst. For more detail on how we handle data, please see our Privacy Policy.

7. Intellectual Property

The Earnst platform, including its design, code, branding, and documentation, is owned by UZU Entertainment Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service. Content you create and upload (such as broadcast messages and media) remains yours.

8. Limitation of Liability

To the fullest extent permitted by law, UZU Entertainment Inc. and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes, without limitation, loss of revenue, data, or business opportunities. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

9. Termination

You may close your account at any time from your account settings or by contacting us. We may suspend or terminate your access to the Service if you violate these Terms, engage in abusive behavior, or fail to pay applicable fees. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow for export, after which it will be permanently deleted.

10. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or through the platform. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
